Appreciation for the willingness of two members of the Mps Bank Board of Directors to resign

The Monte dei Paschi Foundation gratefully received the news of the willingness of the Deputy Chairman Marco Turchi and Director Paola Demartini to resign from the Board of Directors of MPS Bank, so as to facilitate the appointment of two representatives of the new shareholders, as provided for in the agreement entered between the Foundation and the “BTG Pactual Europe” and “Fintech Advisory Inc” funds.

The Foundation conveys its great appreciation for the sensitivity shown by these two board members, which demonstrates a strong sense of responsibility towards the bank, the local community and the Sienese institutions, enabling the consolidation of a firm shareowners base for the middle and long term and a suitable investment perspective to support the growth and development of the bank.

Furthermore, the Foundation highlights the competence and professionalism demonstrated by Turchi and Demartini in their role as directors of the bank’s board, bringing an expertise certainly not inferior to that of Angelo Dringoli and Marina Rubini, who instead communicated to the Foundation their desire to continue to be a part of the bank’s board of directors.

The Foundation was disappointed with their decision, which demonstrated a lack of sensitivity, in contrast with that shown by the other two board members who did agree to resign.
